Terms of Service 1.1 DISPACS is provided to you (hereinafter "User", "you" or "You") under the terms and conditions of this Agreement by Desoto Imaging and Diagnostics and Memphis Physicians Radiological Group, PC, d/b/a DeSoto Imaging Specialists (hereinafter "DID” or "we" or "We"). DID may, at any time and without prior notice, amend this Agreement. Upon the adoption of changes to this Agreement, DID will cause electronic notice to be provided upon logging in to DISPACS whereupon User shall be required to review the updated Agreement and either accept or reject it. User agrees that User's electronic acceptance of the updated Agreement shall be binding upon User. DID shall maintain a copy of the most¬ current copy of this Agreement on the web site which shall be in a form or manner making it readily available for review. 1.2 To the extent applicable, User agrees to comply with Sections 1173 and 1175 of the Social Security Act (the Health Insurance Portability and Accountability Act of 1996, hereinafter referred to as "HIPAA") and the regulations promulgated thereunder, which are codified at 45 C.F.R. §160, 162, and §164, regarding privacy of individually identifiable health information. User agrees to maintain protected health information as confidential, disclosing information only as required or allowed by law and only after securing proper consent and/or authorization, as required by HIPAA regulations. User agrees to execute additional and/or amended agreements as necessary to accommodate amendment of the above-cited law, rules or regulations and to abide by any applicable changes in Sections 1173 and 1175 of the Social Security Act and the regulations promulgated thereunder. 1.3 User agrees to comply with all laws directly or indirectly applicable to the gathering, use, transmission, processing, receipt, reporting, disclosure, maintenance, and storage of Health Information, and use User's best efforts to cause all persons or entities under User's direction or control to comply with such laws. User agrees to use reasonable efforts to maintain the confidentiality of such Information and prevent the disclosure of such information to third parties except as permitted by law. 1.4 User acknowledges and agrees that a user ID and password will be required to access and use DISPACS. Accordingly, User is solely responsible for maintaining the strict confidentiality of the user IDs and passwords assigned by DID. 1.5 If applicable, User further agrees to take all necessary steps to ensure User's employees maintain any user IDs and passwords in strict confidence. User agrees to immediately notify DID of any misuse or known unauthorized attempt to access Protected Health Information using User's user ID or password. User agrees to authorize, monitor, and control access of any employees of User, should such employees be permitted to access and use such information. User agrees that upon any resignation, termination or other separation between User and User's employees having access to DISPACS, User shall immediately take all necessary steps to notify DID and remove User's employees from the DISPACS system. User agrees to be responsible for the acts or omissions of any of User's employees using DISPACS and to ensure that such employees abide by all state and federal laws, rules and regulations as well as the terms of this Agreement. 1.6 User acknowledges and agrees that the information contained on DISPACS is not necessarily considered complete or accurate and DID provides this information "as is" without warranty of any kind. DID cannot and does not warrant against interruptions, losses, delays, human or machine errors, omission, including loss of data. User agrees that DID shall have no liability for any of the information provided through any links to sites external to DID. User agrees that DID shall have no liability for incidental or consequential damage of any kind or nature that may cause a loss of data, use or profits. Additionally, the parties agree that DID shall have no liability to any third party resulting from this Agreement or the services provided hereunder. 1.7 Upon any breach of this Agreement, including inappropriate or unauthorized use or other misuse of User's right to access DISPACS information, DID shall have the right to immediately terminate this Agreement without notice to User. Additionally, DID shall have the right to terminate this agreement and require User to enter into a new agreement at any time necessary to accommodate changes in the HIPAA laws/regulations and/or any other changes to state and/or federal laws. DID shall have the right to halt, revise or supplement DISPACS at any time without prior written notice to User. 1.8 This Agreement, upon electronic acceptance by User, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement. 1.9 This Agreement shall be construed, interpreted, and enforced in accordance with the laws of the State of Mississippi. 1.I0 DID may assign its rights under this Agreement at any time to an affiliate of DID without the prior consent of User, provided such assignment is in conformance with state and federal law governing the electronic transfer of Protected Health Information. User will not assign, sublet, or further subcontract any rights and/or duties under this Agreement without the prior written consent of DID. Upon a permitted assignment, this Agreement shall be binding upon and inure to the benefit of both parties and their respective successors and assigns, including any corporation with which or into which a party may be merged or which may succeed to its assets or business. 1.11 User agrees to cooperate fully with compliance programs established by DID, including if necessary, interviews with DID staff; writing, if requested, detailed accounts of any incidents of which User has knowledge; cooperating with any investigation in any other respect requested should a claim be threatened, presented, rendered or filed as a result of the User's use of DISPACS. 1.12 If any provision of this Agreement shall be held to be invalid, illegal or otherwise unenforceable, the validity, and enforceability of the remaining provisions shall in no way be affected or impaired thereby. 1.13 The failure of either party at any time to require performance by the other of any provision of this Agreement shall in no way affect that party's right to enforce such provision, nor shall the waiver by either party of any breach of any provision of this Agreement be taken or held to be a waiver of any further breach of the same provision or any other provision. 1.14 This Agreement shall be construed in favor of a meaning that permits DID to comply with HIPAA and the regulations promulgated pursuant thereto. 2 Web Site Use Policies 2.1 DID wants patient information and your Member Information to remain secure. We also require the handling of any information obtained from DISPACS to comply with applicable laws and regulations. The following use policies define DID's expectations regarding your use of the DISPACS Web Site ("Site") and describe our commitments to you. 2.2 Content 2.2.1 The Site contains information, data, software, photographs, graphics, videos, text, images, typefaces, sounds and other material (collectively, "Content") that are protected by copyrights, trademarks, or other proprietary rights. The Content consists of copyrighted works proprietary to us or to third parties who have provided us with Content. You may download on one computer and/or print one copy of the Content for your own internal, non¬commercial, educational, private or domestic use provided you do not delete or change any copyright, trademark or other proprietary notices and that content is not altered in any way. 2.2.2. You may not sell, reproduce, distribute, modify, display, prepare derivative works based on, report or otherwise use any Content in any way for any public or commercial purpose. None of the Content may be reverse-engineered, disassembled, decompiled, transcribed, reproduced, translated into any language or computer language, retransmitted in any form or by any means, resold or redistributed without the prior written consent of DID. Any unauthorized or unapproved use of any of the Content constitutes copyright infringement and subjects you to all civil and criminal penalties provided for under domestic and international copyright laws and treaties. 2.3 DID, DISPACS, and the associated logos, and other marks clearly identified in the Site as DID's are DID trademarks. Any reproduction, distribution or public display of these materials, in whole or in part, is prohibited without the express prior written permission of DID or as expressly permitted in the Terms of Service. All other names, brands and marks are used for identification purposes only and may be trademarks or registered trademarks of their respective owners. 2.4 For your convenience, DID may provide links on our Site to third party web sites. These links will allow you to leave the Site. These third party web sites are not under our control and we are not responsible for such third party web sites or for any information or other link contained in a linked site, or for any changes to updates to such sites. Unless expressly stated by us, we do not recommend or endorse particular products, services or web sites of any third parties or make any determination whether any such product, service, or web site may be either necessary or appropriate for you or for the use in rendering care to patients. 2.5 To facilitate your access to and use of our Site or portions thereof, we may make certain software available to you. The terms of your use of such software will be stated separately in a license agreement that will be included with the software. You agree to only use such software in a manner permitted pursuant to such license agreements. 3. Privacy Policy 3.1 DID has created this Privacy Policy in order to demonstrate our firm commitment to your and your patient's privacy. DID recognizes that security for transfer of personal medical record information is of great concern to both patients and care providers. DID protects your privacy and that of your patients in several ways. 3.2 General Information 3.2.1 DID uses Secure Socket Levels (SSL), encryption, digital certificates, and/or other equivalent technology to ensure a secure connection from a Web browser or application to the DISPACS Web Site. Additionally, we require reliable verification of user identify (authentication) by using both a user ID and password. You are wholly responsible for maintaining the confidentiality of your password and/or other account information. You should never reveal either your user ID or password to any other person for any reason. DID reserves the right to cancel any user ID or password and/or other action as DID deems necessary upon learning that a user ID or password has been revealed to any person other than the recipient intended by DID. A physician may set up one staff username for DISPACS that will be designated as an administrative account. By setting up this account, the physician user indicates approval for this administrator to set up other staff usernames associated with the physician' user's list of patients and to give access to physician partners and/or covering physicians to the physician user's list of patients. 3.2.2 Any third party site is not subject to DID's Privacy Policy. If you choose to link to a third party site from this Site, you should review the privacy policies of each site you visit. DID is not responsible for any disclosures you make on any third party sites. 3.2.3 Cookies are small computer files that are transferred to your computer's hard drive. These files help us determine which features and services are being utilized and activities that users perform while visiting the Site. This information helps DID to generate content specifically for you. Cookies mayor may not be automatically deleted once you leave the site. 3.2.4 DID also may store the Internet Protocol (IP) address(es) of your computer(s) used to visit our Site. 3.3 Member Information 3.3.1 DID collects information from you through the enrollment process. Additional information may be collected through your voluntary participation in surveys, questionnaires, etc. This information is collectively referred to as "Member Information". DID maintains Member Information on a secure server with limited access. 3.3.2 Except as identified herein, DID does not provide or release Member Information, including names or e-mail addresses, to any third party without the member's prior permission. Any Member Information provided to entities affiliated with DID will be treated in accordance with this Privacy Policy. 3.3.3 We may use your Member Information collected at enrollment and other voluntarily submitted information in the following ways: 3.3.3.1 To enable us to process and verify enrollment and security activities; 3.3.3.2 To contact you regarding enrollment or enrollment-related matters; 3.3.3.3 To notify you concerning changes to the DISPACS User Agreement; 3.3.3.4 To perform research about our Site Content and services for the purpose of additional development and improvement of Content and services; 3.3.3.5 To combine into aggregate data to help improve the Site content and services; 3.3.3.6 To offer services on a limited basis to demographically identified groups of members; 3.3.3.7 To direct editorial content to members most likely to be interested in the specific subject matter; 3.3.3.8 To advise members of new Site features. 3.3.4 We may disclose your Member Information collected at enrollment and other voluntarily submitted information in the following ways: 3.3.4.1 To third parties if required to comply with applicable legal requirements such as a search warrant, subpoena, court order, law or other regulation; 3.3.4.2 To third parties in case of a physical threat to you or other special circumstances; 3.3.4.3 To our vendors, if necessary, but only to provide products and services related to the maintenance of the Site.
